A-J Secrist provides practical and business-minded advice to companies across industries regarding corporate governance, securities compliance and capital raising matters as a member of Parker Poe's Securities & Corporate Governance Group.

In addition, Ms. Secrist leads the Firm’s Enterprise Risk Management practice, advising senior management and boards of directors on the design, implementation and maintenance of compliance and ethics programs.

Ms. Secrist serves on the advisory board of the Enterprise Risk Management Initiative at North Carolina State University’s College of Management. She is also a member of the Board of Directors of Freedom School Partners and a member of the Parker Poe Diversity Committee.

Experience Highlights

  • Counsels public and private entities on all aspects of corporate governance, including federal securities law and state corporate law requirements, securities exchange standards and institutional investor policies and criteria
  • Assists senior management with public disclosure and investor relations, including periodic reporting to the SEC, proxy solicitations and other public communications
  • Partners with organizations in the development of their enterprise risk management programs, including risk assessments, compliance training, monitoring and auditing systems, oversight structure and program documentation
  • Leads a wide range of equity and debt financings involving offerings of securities on Forms S-3, S-4 and S-8, Rule 144A/Regulation S offerings and other private placements

Representative Matters

  • Led the development of a systematic and adaptable roadmap to assist a diverse range of organizations with the design and implementation of enterprise risk management policies and processes
  • Co-designed and co-led a seminar for approximately 80 executives from various disciplines regarding public disclosure and its significance to non-securities professionals within an organization
  • Completed a shelf takedown of equity securities by a natural gas provider that involved a forward sale component
  • Led a series of Regulation D offerings by a development-stage pharmaceutical company
