Drew Yonchak represents companies across a wide range of industries in public and private debt and equity financings, mergers and acquisitions and various other corporate transactions and matters. As a member of the Firm’s Securities & Corporate Governance Group, he also provides strategic counseling on many aspects of corporate governance and SEC compliance and reporting.
Experience Highlights
- Assists public companies with their SEC disclosure and reporting obligations and investor relations, including reports on Forms 10-K, 10-Q and 8-K, Rule 10b-5, Regulation FD and Regulation G disclosure issues, beneficial ownership reporting and proxy solicitations
- Counsels corporate directors and senior management with respect to governance issues, including board and committee responsibilities and structure, codes of conduct, corporate governance guidelines, insider trading and other key policies, succession planning, related persons transactions, conflicts of interest and fiduciary duties

Participates in various general corporate and transactional matters, with an emphasis on mergers and acquisitions for both closely held and public companies, public and private equity and debt financings and all aspects of entity and joint venture formation
Representative Matters
- Participated in the initial $150 million senior note offering and subsequent $100 million senior note add-on offering by a NYSE traded sports and entertainment company
- Participated in a $130 million equity offering, which included the forward sale of common stock, by a NYSE traded energy company
- Assisted with the stock acquisition of an advanced lighting controls and energy management company with operations across North America by a subsidiary of a multinational engineering and electronics conglomerate
- Participated in the simultaneous sale of the existing business of a pharmaceutical company, its acquisition of a global drug program from Germany’s largest multinational pharmaceutical company and the spinoff of its subsidiary to the company’s stockholders
- Assisted a food service company with multiple add-on acquisitions, followed by the divestiture of the company through an auction process
