Profile

Liz Naman focuses her practice on a variety of tax issues. She counsels her clients on the federal and state tax implications of corporate and real estate transactions. Additionally, she advises clients on joint venture-related transactions, particularly joint ventures in the form of limited liability companies (LLCs).

Ms. Naman also counsels clients on estate planning matters and represents executors in estate administration matters and estate tax audits.
 
Ms. Naman was a member of the Wake Forest Law Review and represented Wake Forest in the National Moot Court Competition. In 2006, she studied abroad in Vienna, Austria with the Wake Forest International Environmental Law program.

Experience Highlights

Ms. Naman’s tax and estate planning experience includes:

  • Advising clients on the applicability of state income, sales, use, franchise and property tax
  • Representing corporate clients in all stages of tax controversies with the Internal Revenue Service and the North Carolina Department of Revenue, including examinations, administrative appeals, Tax Court proceedings and collection matters
  • Preparing ruling requests for the North Carolina Department of Revenue and obtaining Private Letter Rulings granting favorable tax treatment for renewable energy client
  • Counseling clients on federal and state tobacco excises taxes and compliance regulations
  • Preparing LLC operating agreements for real estate development joint ventures involving shopping centers, residential condominiums and mixed-use developments
  • Advising foreign clients on tax implications of U.S. investments
  • Counseling clients on the tax aspects of stock and asset sales
  • Obtaining a favorable settlement of IRS audit for a large estate
  • Developing estate plans and advising on estate planning matters
  • Representing taxpayers in estate and gift tax audits
  • Representing executors and trustees in estate and trust administration matters
  • Advising clients in forming public charities and private foundations
