John Jaye advises public and private companies in securities and corporate governance matters, as well as capital raising and corporate transactions. As a member of the Securities & Corporate Governance Group, Mr. Jaye regularly counsels senior management and boards of directors on a wide variety of public disclosure and corporate governance issues and their impact on corporate strategy.

Experience Highlights

  • Counseling senior management and directors on all aspects of corporate governance, focusing on tailored solutions that advance strategic goals and a culture of compliance
  • Advising clients on securities regulatory matters such as SEC compliance, SOX and Dodd Frank, interacting with NYSE, Nasdaq and FINRA and shareholder relations, including proxy solicitations, managing shareholder meetings and addressing shareholder activists
  • Representing public companies in capital raising transactions, including initial public offerings, shelf offerings of equity and debt, private note offerings and exchange offers
  • Counseling early-stage and startup companies on private offerings, including preferred rounds and venture capital investments
  • Representing companies in fundamental corporate transactions, including mergers, acquisitions, divestitures, joint ventures, reorganizations and recapitalizations, including public company exchange and tender offers
  • Designing and leading training sessions for boards of directors, senior management and targeted employee groups on all aspects of corporate governance and SEC disclosure and compliance

Representative Matters

  • Counseled the board of directors and senior management of a NYSE-traded energy company on “say-on-pay” advisory voting issues, including board training and supplementary proxy filings
  • Represented the special committee of the board of directors of a distressed community bank in its acquisition by another distressed community bank; currently representing the combined companies as corporate and securities counsel
  • Advised a public company in a recent 144A/Regulation S private note offering and subsequent public exchange offer
  • Represented a large regional heating and air conditioning retailer in its sale to a national competitor
  • Represented a public company manufacturer in several international joint ventures and subsequent add-on purchases
  • Assisted a national airline in its restructuring, including a large private investment, a secured debt financing facility and airplane refinancings
