Jay clerked for the Honorable Sam J. Ervin III on the U.S. Fourth Circuit Court of Appeals.

Closed the $260 million sale of a private equity platform company after representing that company in a series of add-on acquisitions.
Led the legal team in the $45 million recapitalization of a multi-state distribution business and established the related credit facility and equity structure.
Represented a private equity firm in the successful acquisition of a hydraulic equipment platform business followed by a series of multimillion-dollar add-on acquisitions.
Successfully closed several add-on acquisitions around the country with a combined value of approximately $60 million for an electronic component company.
Completed the $40 million platform purchase of a company in the food industry and led the legal team in the subsequent refinancing of the business.
Lead counsel in the sale of a 20-megawatt solar power generating facility to a public utility and local counsel on a variety of solar farm sales and recapitalizations.
