Profile

Kent Workman has extensive experience representing public and private companies, as well as private equity and other investor groups, in a broad range of business combinations, investments and corporate finance transactions. His practice focuses primarily on mergers and acquisitions, and the related financings, including senior and subordinated debt arrangements and private placements.

Mr. Workman represents sellers and both financial and strategic bidders in all aspects of M&A auctions. He has represented private equity firms in connection with the acquisition and disposition of portfolio companies, advising with respect to leveraged buyouts and other investments, related corporate governance and shareholder matters, and potential disposition and exit strategies.

Mr. Workman also represents borrowers in connection with a full range of debt instruments, including syndicated credit agreements, second lien facilities, mezzanine loans and convertible notes. He routinely counsels public and private companies on general corporate and compliance matters, restructurings and corporate governance issues. He has represented public and privately held cable television operators, television and radio broadcasters, wireline and wireless telephone operators and other major media and communications industry clients, as well as clients active in lighting, technology, education, energy and manufacturing.

Experience Highlights

Mr. Workman's representative transactional experience includes:

  • Counsel to a private equity firm in connection with its investment in a television broadcast holding company, the acquisition of multiple television broadcast stations (including the related senior debt financings) and the subsequent disposition of certain assets to strategic buyers
  • Counsel to an international engineering conglomerate in the sale of its global tungsten & powders business to a foreign, strategic buyer
  • Counsel to a publicly-held automotive retailer in connection with its $1 billion plus senior secured credit facility
  • Counsel to a publicly-held, UK-based equipment rental company in connection with its $1 billion plus senior secured credit facility and the issuance of high yield debt
  • Counsel to a media investment client in multiple venture financing transactions
  • Counsel to a strategic buyer in connection with the purchase of a privately-held telephone company and the related debt and equity financings
  • Counsel to the seller of stock of a for-profit university system to a publicly-held, strategic buyer
  • Counsel to an international energy conglomerate in the sale of its nuclear energy-related assets in the United States and Europe to a foreign, strategic buyer
  • Counsel to a United States governmental agency in its financing of multiple overseas hotel projects
  • Counsel to a publicly-held wireless telephone company in more than a dozen transactions involving the purchase of wireless assets
