Rich Schell concentrates his practice on a wide range of general business law issues and focuses principally on acquisition, divestiture, joint venture, venture capital and finance transactions. He represents foreign and domestic entities, both public and private. His clients are engaged in a variety of manufacturing, distribution, direct sale, publishing, retail and service activities.

Experience Highlights

Mr. Schell regularly serves as legal counsel on matters relating to business finance, joint ventures, acquisitions and divestitures, including the following:

• Representation of sellers, buyers and other parties in negotiated transactions, including stock and asset acquisitions and dispositions, mergers and other similar transactions
• Structuring of acquisition-related corporate finance, including advice regarding debt and equity securities
• Representation of international and domestic joint ventures and joint venture participants
• Advising borrowers, financial institutions and other lenders in secured and unsecured transactions
• General commercial and business representation, including the organization and structure of corporations and partnerships, and the negotiation of the relative rights of and among investors, management and employees
