Experience Highlights

Mr. Smart’s transactional experience includes:

• Negotiated transactions, including stock and asset acquisitions and dispositions, mergers, joint ventures and other similar transactions for both public and privately owned companies
• Structuring and restructuring acquisition-related debt and equity
• Secured and unsecured financings
• Advising special committees of boards of directors in recapitalizations and management buy-outs

Mr. Smart also advises clients on a wide range of business law issues, including:

• Structuring, organizing and funding start-up concerns
• Rights and duties of directors, officers and shareholders and related corporate governance issues
• Designing and implementing corporate compliance programs
• Negotiating distribution and franchise agreements and other commercial contracts
