Woody Farmer has experience both in representing sellers, purchasers and developers of commercial properties and in representing lending institutions in the secured financing of such properties. Mr. Farmer is recognized for devising creative solutions to the numerous issues arising from the development, leasing, purchase and sale of commercial real estate.

Experience Highlights

Mr. Farmer represents a variety of clients, including the following:

  • Purchasers and sellers in the acquisition and sale of commercial properties including office towers, business parks, warehouses, shopping centers, apartment projects, golf courses and undeveloped land
  • Landlords and tenants in negotiating ground leases and leases for office, retail and industrial properties, including the preparation of form leases for landlords of such facilities
  • Developers of commercial properties, including office parks, business parks, planned golf course communities, marinas, shopping centers, apartment projects, townhouse and condominium developments and single-family subdivisions
  • Purchasers, sellers, qualified intermediaries (escrow agents) and accommodation parties in tax-free exchanges of real property, including both simultaneous, deferred and reverse exchanges
  • Developers in registering subdivisions with the Interstate Land Sales Office and in obtaining no action letters and exemptions from registration

In addition, Mr. Farmer represents institutional lenders in lending transactions secured by commercial properties in:

  • Providing construction and permanent financing to numerous commercial projects ranging from golf courses and planned developments to multi-family developments and shopping centers
  • Foreclosing and restructuring commercial loans
  • Structuring loan programs for subordinated financing by developers of residential projects
  • Providing loans secured by partnership interests and other personal assets
