Judith Whelan represents multinational businesses on their cross-border transactions. She counsels German, Swiss, Austrian, and other international companies on inbound investments in the U.S. and the establishment and expansion of their U.S. operations. Her experience as a corporate lawyer working with foreign and domestic companies enables her to help clients navigate complex U.S. regulatory requirements.

She counsels businesses in a range of industries, particularly manufacturing and distribution companies active in the automotive, machinery, and advanced manufacturing sectors. She advises public and private entities on corporate structuring, mergers and acquisitions, commercial and supply chain matters, and other business matters. She also assists renewable energy companies with transactions and project development. 

Judith brings a particular understanding of legal and business issues to bear for her international clients. She is a native German speaker, and she earned law degrees in the United States and in Germany.

Representative Experience

  • Represented clients in commercial transactions, including terms and conditions of sale/purchase, distribution, supply chain, and other commercial agreements.
  • Advised clients on U.S. and global corporate structuring and governance, including incorporation, dissolution, shareholder agreements, and succession planning.
  • Counseled public and private companies, including foreign-owned companies, on mergers and acquisitions. 
  • Assisted multinational companies in economic development and incentives projects, including the opening of a new manufacturing facility in the Southeast.
  • Worked with energy clients on renewable energy projects, including combined heat and power, solar photovoltaic (PV), and landfill gas projects and acquisitions.
  • Counseled clients on business and family-based immigration and visa matters.
