Will Middleton advises corporate clients on a range of matters, including, but not limited to, corporate governance, corporate and regulatory compliance, commercial transactions for regulated and non-regulated companies, mergers and acquisitions, nondisclosure agreements, and entity formation.

Will advises energy clients on commercial contracts and transactions that may be subject to regulatory requirements, including, but not limited to, Public Utility Regulatory Policies Act (PURPA) requirements, power purchase agreements, interconnection agreements, and engineering, procurement, and construction (EPC) agreements. This advice necessarily includes guidance on the electric reliability rules and compliance with standards set by the Federal Energy Regulatory Commission (FERC), the North American Electric Reliability Corporation (NERC), and state utility commissions. Will represents clients in contested regulatory proceedings, as well as regulatory audits and investigations.

His practice experience further comprises representing banks, financial institutions, and corporate clients in secured and unsecured lending, including single-lender and syndicated credit facilities.

Will earned his J.D. and his Master of Science in finance from Vanderbilt University, where he was a member of the Vanderbilt Journal of Transnational Law and Vanderbilt University Law School’s Moot Court Board. Prior to law school, he interned with the South Carolina Legislature's House Ways and Means Committee, as well as the United States Senate.

He and his wife grew up in the upstate of South Carolina, and Will is proud to be a part of the Greenville community, while serving clients with interests around the globe.
