Robert Augustin works with banking and real estate clients for their lending, funding, and land use needs. Robert has particular experience in commercial real estate lending, mergers and acquisitions, and structured finance. Prior to joining Parker Poe, he worked at a "Big Four" accounting firm and assisted with global tax restructuring of Fortune 500 companies and international companies.

Robert received his law degree from the University of South Carolina. While in law school, he was a member of the Black Law Students Association, the Carolina Equality Alliance, and served as chief justice of the Student Government Supreme Court. He is a member of the American Bar Association's Tax Committee and Legal Opinions Committee, as well as the Atlanta Stonewall Bar Association.

Representative Experience

Banking & Capital Markets

  • Drafted loan agreements and other ancillary loan documents in commercial mortgage-backed securities financing and other commercial lending transactions.
  • Drafted master repurchase agreements, acquisition trust agreements, term sheets, indentures, escrow agreements, private placement memorandums, and ancillary documents, including legal opinions, in connection with various repurchase facilities and asset-backed and mortgage-backed securitizations.
  • Represented underwriters, purchasers, and sellers in the securitization of loans backed by the Home Equity Conversion Mortgage (HECM) loan program and various other collateral.
  • Represented dealers and initial purchasers in credit risk transfer transactions, with respect to GSE products held in a real estate mortgage investment conduit (REMIC) trust.
  • Managed and led numerous joinder transactions from start to finish.
  • Represented a global wealth management and investment bank in the repurchase of loans from various real estate investment trusts (REIT).

Securitization

  • Represented issuer in reverse mortgage RMBS securitization by drafting all ancillary documents for issue, transaction opinions, enforceability and tax opinions for numerous projects in deal size ranging from $200 to $500 million.
  • Represented initial purchases in credit risk transfer transactions for Government-sponsored enterprise product held in REMIC trust for multiple deals ranging from $1.3 to $1.9 billion.
  • Represented warehouse lending in the creation of repurchase facilities for multipfamily housing for deals ranging from $3 million o $350 million.
  • Represented a REIT as lender counsel in CMBS and mezzanine loan originations for loans ranging from $3 to $50 million.
  • Represented warehouse lender as repurchase counsel providing due diligence review of loan file and assignment prior to being onboarded into repurchase facility and drafted firm comfort letter.
