Stephen Denmark focuses his practice on banking and capital markets. He has experience representing banks, debt funds, life insurance companies, real estate investment trusts (REITs), and other financial institutions in the origination, acquisition, disposition, syndication, and servicing of secured senior loans, bridge loans, construction loans, and mezzanine loans. He has advised on loans secured by a variety of asset classes and featuring various collateral structures, which include operating leases, condominiums, ground leases, low-income housing tax credits, and forward and reverse Section 1031 exchanges. He has also represented special servicers in loan workouts, restructurings, and modifications.

Stephen has particular experience in the commercial real estate industry. He has drafted and negotiated joint ventures in connection with the acquisition of commercial real estate. He has also has reviewed and negotiated due diligence related to commercial lending, including title, survey, zoning, lease agreements, payment-in-lieu of tax (PILOT) agreements, ground lease agreements, condominium agreements, and entity organizational documents.

Prior to joining Parker Poe, Stephen worked at two of the country's 60 largest law firms. He is also a former law clerk for the Honorable John R. Jolly Jr., who at the time was the chief judge of the North Carolina Business Court.

Representative Experience

  • Represented bank in a $650 million bridge loan to finance the acquisition of an iconic retail and office building located on Fifth Avenue in Manhattan.
  • Represented life insurance company in a $230 million bridge loan to refinance construction debt on a portfolio of newly constructed multifamily apartments.
  • Represented REIT in a $250 million mezzanine construction loan facility to finance a portfolio of to-be-constructed industrial warehouse buildings.
  • Represented bank in a $50 million construction take-out loan of a newly-built data center leased to one of the world’s largest companies.
  • Set up a new construction loan program for senior lender and mezzanine lender; drafted and negotiated initial program loan documents and established loan closing procedures and protocol for clients.
  • Represented life insurance company in a $55 million mortgage and mezzanine bridge loan to finance the acquisition and subsequent value-add of a portfolio of four industrial office properties located in California and Arizona.
  • Represented lender in a $62 million bridge loan to finance the acquisition of a building located in Birmingham, Alabama, that was designated an Opportunity Zone property and eligible for historic tax credits, which were to be sold to a third-party investor.
