Ben Baldwin advises financial institutions, investment funds, developers, and other businesses on financing transactions, joint ventures, acquisitions, and strategic corporate objectives. His practice spans a broad range of corporate finance and commercial transactions, with particular experience in lending, private credit, mezzanine finance, subscription credit facilities, and equity investments. He represents both capital providers and borrowers, giving him a practical understanding of transactions from multiple perspectives.

Ben regularly counsels clients on joint ventures, mergers and acquisitions, and other business transactions. His joint venture experience includes real estate, product supply, and technology ventures, while his acquisition and disposition work has involved businesses across a range of industries, including manufacturing, media, health care, and cemetery and funeral home operations.

Beyond individual transactions, Ben advises businesses on governance, ownership, and operational issues. He counsels clients on shareholder and operating agreements, capital and debt structures, ownership disputes and buyouts, commercial contracts, and other day-to-day business needs. He has also served as outside general counsel to several clients.

Ben has held numerous leadership positions within the North Carolina Bar Association, including service on its board of governors and as chair of the Business Law Section. For 13 years, he served as the general editor of Robinson on North Carolina Corporation Law, a LexisNexis treatise.

Representative Experience

  • Represented a private equity firm in financing its investment in a specialty pharmaceutical company.
  • Advised a mezzanine fund on its preferred equity investment in an operator and franchisee of several national fast-food restaurants.
  • Counseled various private equity and mezzanine funds in obtaining short-term liquidity lines of credit.
  • Advised a private equity investor on various minority joint venture investments.
  • Counseled a real estate investor on various controlling and minority joint venture investments.
  • Assisted a real estate developer in forming a joint venture to acquire land and operate a multifamily and retail construction project.
  • Advised a real estate developer on the buyout of a minority member in a joint venture that owns and operates restaurant properties.
  • Assisted a real estate developer in forming a joint venture to acquire land and operate automobile dealerships.
  • Counseled a privately owned foundry company on various merger and acquisition transactions.
  • Represented the owner of a privately held plastic pipe product manufacturer in the sale of its business.
  • Advised a contract product manufacturer on a divisive merger transaction designed to manage litigation risk and market the company for sale.
  • Counseled a privately owned operator of a chain of cemeteries and funeral homes on acquisitions from national consolidators, related financing, and dispositions.
  • Advised the founders of a startup media and advertising business on fundraising efforts.
  • Represented a minority shareholder of a closely held corporation in negotiating an exit from the investment.
