Jay Butler has extensive experience with the purchase and sale of businesses, negotiating commercial contracts, and creating joint ventures. He works on transactions throughout the United States. His clients include private equity funds, domestic and international manufacturing companies, recyclers, energy companies, and other private and public businesses.

He regularly provides legal counsel on stock and asset acquisitions, sales transactions, equity participation structures, entity formation, and the variety of commercial contracts employed by manufacturing, distribution, and energy companies. 

Jay clerked for the Honorable Sam J. Ervin III on the U.S. Fourth Circuit Court of Appeals.

Representative Experience

  • Closed the $260 million sale of a private equity platform company after representing that company in a series of add-on acquisitions.
  • Led the legal team in the $45 million recapitalization of a multi-state distribution business and established the related credit facility and equity structure.
  • Represented a private equity firm in the successful acquisition of a hydraulic equipment platform business followed by a series of multimillion-dollar add-on acquisitions.
  • Successfully closed several add-on acquisitions around the country with a combined value of approximately $60 million for an electronic component company.
  • Completed the $40 million platform purchase of a company in the food industry and led the legal team in the subsequent refinancing of the business.
  • Lead counsel in the sale of a 20-megawatt solar power generating facility to a public utility and local counsel on a variety of solar farm sales and recapitalizations.
