Matt Evangelisto focuses his practice on private equity, mergers and acquisitions, and general corporate law. He has experience representing private equity and independent sponsors in negotiating stock and asset acquisitions, leveraged buyouts, and minority equity investments, as well as representing founding owners in sales to strategic and financial buyers. He has also represented portfolio companies in corporate governance, operational, and other legal needs. 

Matt received his law degree from the University of North Carolina at Chapel Hill. During law school, Matt was a contributing editor for the North Carolina Law Review. Matt spent a semester in Madrid at the Universidad Pontificia Comillas as part of its international and European business law exchange program. 

Matt was a law clerk for the Honorable Mark A. Davis during the time he was a North Carolina Court of Appeals judge. 

Outside of work, Matt enjoys traveling and hiking the Blue Ridge Mountains. 

Representative Experience

  • Represented U.S. subsidiary of multinational health care corporation in connection with nationwide joint venture program, including drafting and negotiating joint venture agreements, management agreements, commercial contracts, noncompetition agreements, affiliate arrangements and related corporate governance and commercial matters; coordinated with client’s in-house counsel in negotiations with counsel of minority partners.
  • Represented real estate investment firm in corporate reorganization in connection with approximately $50 million spinoff transaction.
  • Assisted in drafting and negotiating transaction documents and leading due diligence review process in connection with stock and asset acquisitions and dispositions for private equity clients, privately held companies, and founders.
  • Spearheaded shareholder outreach and served as primary point of contact in shareholder outreach workstream in connection with sale of privately held corporation.
  • Prepared and negotiated principal and ancillary acquisition documentation and managed full due diligence process, including preparing diligence memoranda and disclosure schedules, as well as coordinating with broad team on employee benefits, labor and employment, intellectual property, real estate, environmental, tax, and regulatory needs.
