Washington, D.C. – Parker Poe Adams & Bernstein LLP is pleased to announce its representation of CyberPoint3 Holdings, LLC, owned by Cyber Capital Partners, in its acquisition of advanced cybersecurity companies Point3 Security, Inc. and P3F LLC. Through this acquisition of two leaders in the US national security community, Cyber Capital Partners adds new cybersecurity capabilities to its technology portfolio.
Parker Poe Counsel Steve Britt served as legal advisor to CyberPoint3 on all aspects of the acquisition. He represented the buyer in the negotiation and drafting of all transaction agreements, including purchase agreements, promissory notes, employment agreements, noncompete agreements and stock pledge agreements.
“We are grateful for the opportunity to have represented such a visionary as CyberPoint3, which leverages Cyber Capital Partners’ role as a U.S. Department of Defense Capital Partner with access to all of the Federal labs,” Britt said. “This is just the first of several planned investments by CyberPoint3.”
According to the announcement from Cyber Capital Partners, available here, this transaction adds four advanced cybersecurity business units that address the most complex challenges facing national security and critical infrastructure communities.
