On February 9, Sarah Hutchins presented on hot topics in due diligence relating to data privacy and security in a CLE hosted by the North Carolina Bar Association (NCBA) Business Law Section. She and other panelists provided an overview of the due diligence process in M&A transactions, including general themes, the timing of due diligence review relative to the timing of the transaction signing and closing, common points of emphasis, and the implications of deal structure. Then the panel discussed topical considerations, including the implications of rep and warranty insurance on due diligence, COVID-19 and CARES Act considerations, and technology and data privacy concerns.
