Dissecting the Purchase Agreement Seminar Features Parker Poe Attorneys

Presented by Lorman Education Services, the seminar “Dissecting the Purchase Agreement,” will feature Parker Poe attorneys Debra E. Kleman, Roy (Skip) L. Smart, Steven D. Weber and Edward (Ward) W. Wellman, Jr. on October 19, 2005.

This one-day seminar provides a detailed examination of a typical asset acquisition agreement, focusing on those provisions that are often hotly negotiated. Discussions will highlight the competing perspectives of buyer and seller with respect to the these issues and how their respective positions are reflected in the language of the agreement.

In addition to serving as moderator, Mr. Smart will offer the audience insight on deal points, conditions to closing and heavily negotiated agreement provisions. Ms. Kleman will discuss recurring employee benefits issues, including traps for the unwary, and Mr. Weber will cover recurring environmental issues, such as environmental “red flags.” Mr. Wellman will present information on seller’s representation and warranties, covenants and post-closing indemnification.

This one-day seminar is designed for attorneys, CPAs, presidents and vice presidents, financial and estate planners and real estate planners and real estate professionals or anyone who participates in the negotiation of merger and acquisition transactions.

This program has been approved by the North Carolina State Bar Board of Continuing Legal Education for 6.75 CLE hours. Acceptance for CE credit is pending with the Certified Financial Planner Board of Standards, Inc. and the program may be eligible for continuing education by the Institute of Certified Bankers.
