Elizabeth Trenary counsels public and private clients on commercial, corporate, and transactional issues. These include complex commercial arrangements, technology licenses, joint ventures, mergers, asset and stock purchases, securities offerings, debt issuances and governance issues. Her clients include both small businesses and large domestic and international clients in a variety of industries, including advanced manufacturing, banking, energy, technology, automotive, hospitality, and education.

Elizabeth has particular experience with information technology projects and transactions. Elizabeth’s technology clients in the automotive industry include a large dealership group, original equipment manufacturers, and data analytics companies, and her health care clients include hospitals and other providers. Elizabeth has helped those clients launch telematics and GPS technologies, genome and other health care-related technologies, dealership management systems, electronic health record systems, cloud-based patient portals, cloud-based data management, and other IT solutions.

Elizabeth is a graduate of Furman University, where she was actively involved in Delta Gamma. She served as the commencement speaker for the class of 2011. Elizabeth was a member of the United States delegation to the Asia-Pacific Economic Cooperation in Yokohama, Japan. Following, she received her Juris Doctor from the University of Miami School of Law, where she served foster children in the Children and Youth Clinic, wrote extensively on veterans affairs, and served as a judicial intern for North Carolina Supreme Court Justice Barbara Jackson.

Elizabeth serves as secretary on the board of trustees for Project Healing Waters Fly Fishing, a nonprofit organization that is dedicated to the physical and emotional rehabilitation of disabled veterans and active military service personnel through fly fishing and associated activities. Elizabeth also serves on the board of directors for Opera Carolina and has developed several community projects, including Eye Love Art, which promotes the work of young, blind artists. She is also active in nonprofit organizations that include United Way, Arts & Science Council, and Camp Corral. She regularly serves as a pro bono attorney for foster children across the state of North Carolina through the state’s Guardian ad Litem program.

Elizabeth is admitted to practice in all courts of general jurisdiction in North Carolina and the U.S. District Court of the Western District of North Carolina.

Representative Experience

  • Drafted all ancillary and closing documentation and reviewed all diligence materials in an acquisition involving one of the largest equipment rental companies in North America.
  • Handled diligence process, including memo drafting and review of disclosure schedules, in an acquisition involving one of the largest contract food service companies in North America.
  • Reviewed agreements in carve-out for major German manufacturer and participated in negotiations with transfer agreements between the company and its customers.
  • Advised automotive OEM and automotive finance company on many aspects of telematics and GPS technologies.
  • Advised large automotive dealership group on information technology and cloud agreements
  • Represented hospital systems negotiating license and support agreements for electronic health records and other software.
  • Represented hospital systems negotiating licenses, cloud arrangements and agreements to establish online patient portal, clinical trial record system, and other information technology systems.
  • Represented owner of extended care facilities in negotiating license of voice-assisted workflow software
  • Represented US subsidiary of British public company in multiple transactions involving the acquisition of equipment rental businesses
  • Represented the seller of a family-owned e-commerce business to a privacy equity group, which the family retained a minority investment
  • Represented the seller of a family-owned chemical manufacturing company
  • Represented the sellers of multiple family-owned trucking companies
  • Represented foreign companies in the establishment and operation of US subsidiaries
  • Served as outside corporate counsel to various private companies, advising officers and boards of directors on fiduciary duties and investor relations, drafting commercial contracts
  • Represented German technology company in multi-national technology launch and event planning
